Experience
Negotiated and drafted merger and acquisition, divestiture, alliance, joint venture, project financing, licensing, technical assistance, non-disclosure and e-commerce contracts and managed intellectual property (including patents, trademarks, copyrights and know-how) in U.S. and overseas for telecommunications, Internet, high technology and steel plate fabrication and construction businesses. Closed over $3 billion in M&A and over $2 billion in financing.
Served as start-up company legal counsel and mergers & acquisitions lawyer based in London (England) for European and Asian wireless, broadband and international telecommunications operating companies. Provided U.S. (federal and state), foreign country and international regulatory advice for wireless, wired and broadband telephony and data services, designed domestic and international compliance programs and established on-line Internet privacy policy.
Negotiated, drafted and administered contracts with vendors, customers and partners for services, software and hardware for industrial, OEM and government contractors. Managed international technology licensing department. Advised in-house managers regarding labor, employment and antitrust law and compliance programs. Directed dispute resolution for domestic and foreign conflicts.
Primarily engaged in business law concentrating on business development and mergers & acquisitions (including significant international experience) as legal counsel and hands-on manager ranging from start-ups to Fortune 50 companies in heavily regulated (telecommunications and energy) and unregulated (e-commerce) businesses.
